Joy of Try – Influencer Program Terms & Conditions and Agreement
These Terms & Conditions ("Agreement") govern the participation of individuals ("Influencers") in the Joy of Try LLC-FC Influencer Program ("Program") based in the United Arab Emirates. By submitting the online application form, you agree to be bound by this Agreement.
1. Program Purpose
Joy of Try LLC-FC ("we", "our", "us") is a UAE-based entity that connects brands with influencers for affiliate marketing activities. Influencers accepted into the Program may be integrated into third-party marketing platforms (e.g., Trendyol) to generate content and promote affiliate links.
2. No Guaranteed Engagement or Earnings
Acceptance into the Program does not guarantee any assignment, campaign, compensation, or collaboration. Payment terms and commission structures may vary by campaign or platform and will be communicated individually per project.
3. Content Ownership & Responsibility
Influencers are solely responsible for the accuracy, legality, originality, and any required disclosures related to the content they publish.
Influencer agrees to uphold the reputation and values of Joy of Try. Any behavior or public statement that damages the brand’s image may result in immediate termination of this agreement.
4. Prohibited Content under UAE Law
Influencer shall not post content that violates UAE social, political, or religious sensitivities. Such violation will result in immediate termination and possible legal reporting.
5. Compliance with Laws
Influencers agree to comply with all applicable UAE regulations, advertising standards, and intellectual property laws. Any violation may result in immediate termination from the Program.
6. Program Removal Rights
Joy of Try reserves the right to remove any influencer from the Program at its sole discretion, without prior notice and without any obligation to explain the reason.
7. Termination Procedure
Joy of Try may terminate this Agreement without cause but shall notify the influencer in writing. Any outstanding payments will be settled within 30 days.
8. Commission and Payment Structure
Commission amounts and payment timelines will be agreed upon separately for each campaign or collaboration. No fixed or universal rate is guaranteed, and no commission is due until payment is received from the third-party platform.
9. Tax Responsibilities
Joy of Try holds no responsibility for the influencer’s tax declarations. Influencers are solely responsible for reporting and paying any taxes arising from payments under this agreement.
10. Confidentiality
All campaign details, rates, internal materials, and platform-specific data shared with influencers must be kept strictly confidential unless otherwise approved in writing.
11. Penalty Clause
If the influencer breaches any confidentiality or content usage terms, they may be held liable for actual and consequential damages, and Joy of Try reserves the right to pursue legal remedies.
12. Independent Contractor Relationship
Nothing in this Agreement creates any partnership, employment, or agency relationship between Joy of Try and the influencer. Influencers operate as independent contractors.
13. Governing Law
This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes arising shall fall under the exclusive jurisdiction of Dubai Courts.
14. Privacy & Data Protection
Joy of Try is committed to protecting personal data in accordance with the UAE Personal Data Protection Law. Any data collected will be used solely for program-related purposes, such as onboarding, campaign participation, payments, and legal compliance. Data will not be shared with third parties unless required by law or with the influencer’s prior written
15. Content Usage Policy
By participating in the Program, influencers grant Joy of Try a non-exclusive, royalty-free, worldwide license to use, reproduce, repost, and share submitted content on Joy of Try’s digital platforms, marketing channels, and presentations, solely for the purpose of promoting the Program or related brand collaborations. Influencers remain the owner of their content and may request removal of any usage at any time by providing written notice to Joy of Try.
16. UAE Advertising and Media Compliance
Influencers must comply with UAE National Media Council and ADMS regulations. Sponsored content must be clearly disclosed using appropriate labels such as #ad or #sponsored, in accordance with applicable laws.
17. Acceptance
By submitting your application to the Program, you confirm that you have read, understood, and agreed to these Influencer Program Terms & Conditions and Agreement.
